Terms of Service (TOS) agreement for ordering proxies through www.seo-proxies.com Provider: The provider is the legal person/business selling this services. (seo-proxies.com) The user: The user/customer is the legal person which has subscribed to the services. Only the user himself is allowed to use the services. If the user is a company or similar business entity authorized employees or agents of that company may also use the services. Permitting third parties access to the services is a violation of the TOS -> see section "Terms Violation" The user has to provide correct information, including the full name, address and email contact. Terms: The duration of our services are usually (subscription terms) one month which automatically renews by one month until cancellation. Non renewing (single payment based terms) do not renew automatically. Begin of service: All licenses are object of human verification which takes up to two business days. This 2-day period begins as soon as the user has paid his service fees and confirmed the order through a link [automatically created email]. Cancellation: Cancellation can happen through email, the website (if available) or through the payment provider. Cancellation has to be received before the next payment is due. Refunds: There is no refund policy due to the fact that we offer trial licenses. The exclusive IPs are usually fresh and have not been used before, as soon as a customer starts his IPs a refund is impossible. Disputes: Any disputes regarding billing are to be sent through email within 2 business days of an alleged billing error. Starting disputes through paypal or requesting chargebacks are a violation of our TOS -> see section "Terms Violation" Payment: All payments are in the sole responsibility of the customer. Laws: The user agrees to abide by all domestic and foreign laws. Security: The user agrees that we can not promise that the customers information, including passwords, will not be compromised. This is a risk of any online data transmission, the user agrees that it holds the service provider harmless in the event of any security breach to the customers data or information. Limitation/Disclaimer of Liability: The provider is not liable for protection or privacy of electronic mail or other information transferred through the Internet or any other network the provider or its customers may utilize. The provider does not represent or warrant to user that user will receive continual and uninterrupted service during the term of this Agreement. In no event shall the provider be liable to the user for any damages resulting from or related to any failure or delay of provider to provide service under this agreement if such delays or failures are due to strikes, riots, fire, inclement weather, acts of God, theft or vandalism or other causes beyond the provider's control, as defined by standard practices in the industry. Such failure or delay shall not constitute a default under this agreement. Indemnity: The user agrees to defend, indemnify and hold the provider harmless from and against any and all claims, losses, liabilities and expenses (including attorneys' fees) related to or arising out of the services provided by the provider to the user under this agreement, including without limitation claims made by third parties (including customers of user) related to any false advertising claims, liability claims for products or services sold by user, claims for patent, copyright or trademark infringement, claims due to disruption or malfunction of services provided hereunder, or for any content submitted by user for publication by the provider, but excluding those related to the negligence of the provider. IP-addresses: The provider maintains control and any ownership of any and all IP numbers and addresses that may be assigned to the user and reserves in its sole discretion the right to change or remove any and all IP numbers and addresses. The provider promises that exclusive IPs assigned to the user are not shared with any other customers. Terms Violation Any breach of this TOS is a breach of the relationship between provider and customer, and subject to immediate termination, without notice or refund, at the provider's sole discretion. Acceptable Use Policy (AUP) Possible violations of the AUP: Copyright and property right violations, Unsolicited Email, any illegal activities, spamming, child pornography, threats and harassment, fraudulent activities, denial of service, malware distribution, phishing, impersonation of any other person, violation of domestic or foreign law The provider reserves the right to push legal actions against users causing troubles by violating the AUP or TOS. Violation of foreign TOS: The user may not break foreign TOS in case the likely result is a ban of the provider's IP-addresses. Traffic and bandwidth: the traffic customers may generate is based on "fair use" terms. High traffic requirements require written permission from the provider (email or a customized license). Any breach of this AUP is a breach of the TOS between provider and customer, and subject to immediate termination, without notice or refund, at the provider's sole discretion. Termination of service: The provider reserves the right to terminate the customers service at any time. In case of a violation of the AUP there will be no refund on any fees or costs. In case of no violation of TOS or AUP the customer will receive a refund for his remaining license time. Setup costs are not refunded in any case. Changes of AUP: The customer agrees that the provider may change the AUP without prior notice. The customer shall keep itself informed about the current terms through this website. Severability: In the event any term or provision in this AUP is found by a tribunal of competent jurisdiction to be invalid, the remainder of this AUP shall remain in full force and effect
